Important Legal Notice to Current Alumni Association Members Regarding an Upcoming Online Vote
This letter is meant for anyone who has paid their dues starting July 1, 2016.

Dear Members,

On June 9, 2016 the Board of Trustees of the Alumni Association of the Bronx High School of Science (the “Alumni Association”) voted to conditionally accept a proposal from the organization formerly known as The Bronx High School of Science Endowment Fund, Inc. (the “Endowment Fund”) to have the combined functions of the two organizations performed by one (the “Proposal”). This Proposal includes formally dissolving the Alumni Association and having its assets, liabilities, and functions assumed by the Endowment Fund, which has been renamed Bronx Science Alumni Foundation, Inc. The final decision on whether to dissolve the Alumni Association and move forward with the Proposal remains subject to a vote by the members of the Alumni Association.

Originally, the Alumni Association funded and supported the Endowment Fund as a sister organization to focus on fundraising while the Alumni Association focused on building a sense of community among the school’s alumni.   In reality, both organizations did alumni relations and fundraising, and the existence of two organizations has been confusing to both organizations’ stakeholders. With a single organization we can do even more for our alumni and for our school.

The benefits of joining forces include everything from greater mission focus to increased funding for alumni programs and school priorities as well as leveraging economies of scale for our operational expenses.

Pursuant to the Alumni Association’s constitution, the board of trustees of the Alumni Association (the “Board”) will hold a vote of the membership on the question of dissolution of the Alumni Association. According to Article V of the constitution, only those members who have paid their dues for this academic year are eligible to vote (beginning July 1, 2016). This letter serves as 45 days’ notice that the Board has adopted an electronic voting mechanism pursuant to Article VIII of the Alumni Association’s constitution. Voting on the question of dissolution will open to the membership on 12:00 AM EST February 17, 2017, and will remain open until 12:00 PM EST February 27, 2017.

The electronic voting will be done via an online platform hosted by AssociationVoting. As we approach the first day of voting, the Board will send you a reminder to cast your vote and explaining voting procedures, as well as a link you can use to vote. Using the link, each member will be able to login and cast a single ballot 24 hours a day, 7 days a week while the election is open.

Be advised that should you choose not to vote (whether voting for dissolution or against dissolution or casting a vote of abstention), your vote will be counted as a vote for dissolution of the Alumni Association and acceptance of the Proposal.
